Legal Associate (Corporate & Commercial Practice)

Sandiva Legal Network is hiring an Associate for its Corporate & Commercial practice. The role involves drafting and negotiating complex agreements, supporting M&A transactions, and providing regulatory advisory under Indonesian law.

Key Responsibilities:

Corporate & Commercial

• Draft, review, and negotiate a wide range of corporate and commercial agreements including share subscription and share transfer agreements, joint venture agreements, commercial contracts (services, supply, distribution, licensing, etc).
• Assist in M&A and corporate transactions, including legal due diligence, transaction documentation, & CP tracking and closing process.
• Provide corporate secretarial and general corporate advisory support.

Regulatory & Advisory

• Advise on Indonesian corporate and commercial laws and regulations, including compliance requirements relevant to transactions.
• Conduct focused legal research and prepare legal memoranda, issue lists, and risk analyses.

Matter Management

• Handle matters with limited supervision and manage multiple workstreams concurrently.
• Coordinate with junior associates and contribute to internal quality control.
• Prepare structured briefings for Senior Associates and Partners.

Technology & AI‑Assisted Legal Work

• Use AI-assisted legal tools responsibly for drafting, research, and document review, while ensuring accuracy, legal correctness, and compliance with firm policies.
• Exercise independent judgment in reviewing and validating AI-assisted outputs.

Qualifications:

• Minimum 4 years of experience at a reputable law firm in corporate and commercial practice.
• Strong knowledge of Indonesian corporate and commercial law.
• Proven experience in drafting and reviewing complex legal agreements.
• Ability to work independently and meet tight deadlines.
• Strong analytical and legal reasoning skills.
• Excellent written and verbal communication skills in Bahasa Indonesia and English.
